The Memorandum of Association or MoA is the document consisting the set of clauses which define the scope of a company. The MOA is drafted and filed to the RoC at the time of incorporation of the company. It lays down the constitution of the company and the relationship of the company with its members. Any alteration in the MOA can be done only by passing resolution.
Alteration Requiring MOA Amendment
1.Name : name change of the company.
- Object : change of the objective and further necessary matters of the company.
3.Registered Office address : change of location of registered office of a company from one state to other across different ROC.
4.Capital Limit change : change in the authorized share capital of the company.
5.Liability Clause : alteration in the liability of the members of the company.
